Public offer

Publication date: 14 July 2026. Effective upon publication.

This document is a public offer by Individual Entrepreneur Rezvantsev Andrey Vladimirovich (OGRNIP: 323246800039368, INN: 245905335067), the “Licensor”, to enter into a license agreement for use of the “Octyx” SaaS software on the terms below.

The agreement is formed by acceptance of this offer by any individual, legal entity, or sole proprietor — the “Licensee”.

1. Definitions

1.1. Platform — the “Octyx” computer program athttps://octyx.app, a SaaS for resale operations (intake, inventory, pricing, publishing, sales, analytics) with AI features.

1.2. Site — the Licensor’s website at https://octyx.app.

1.3. Account — the authenticated area of the Platform with plan, limits, and settings.

1.4. Plan — the package of rights and limits (including AI tokens) and pricing.

1.5. AI token — a unit of AI usage on the Platform.

1.6. Acceptance — unconditional acceptance by registering on the Site and/or paying the fee.

2. Subject

2.1. The Licensor grants a non-exclusive license within the selected Plan; the Licensee pays the fee when the Plan is paid.

2.2. The Platform is provided as Software-as-a-Service.

2.3. Access is via the Site, Account, and related apps (including the organization storefront and mobile app).

3. Obligations

3.1. The Licensor shall keep the Platform available 24/7 except maintenance windows and protect confidentiality per the Privacy Policy.

3.2. The Licensee shall use the Platform lawfully, pay on time, not share Account credentials, and ensure lawful processing of product and customer data uploaded.

4. Fees

4.1. Access is based on the selected Plan. Plans may change with notice on the Site.

4.2. Current models include Free, Pro, Premium, and AI token packs.

4.3. Payment is 100% prepay by card via integrated payment providers.

4.4. Fees are not subject to VAT under the Licensor’s simplified tax regime.

4.5. The service is deemed delivered when subscription access opens or token packs are credited.

5. Refunds

5.1. Software is provided “as is”.

5.2. Under Russian law, a proper-quality software license is generally non-refundable.

5.3. No refunds for paid periods or token packs regardless of usage.

5.4. On cancellation, access lasts until period end or pack exhaustion; no pro-rata refund.

6. Liability

6.1. Platform is “as is” without fitness warranties.

6.2. No liability for third-party outages or AI accuracy (AI outputs are advisory and must be reviewed by the Licensee).

6.3. Aggregate liability is capped at fees paid for the last billing month.

7. Term

7.1. Effective on Acceptance, indefinite term.

7.2. Offer terms may change upon publication.

7.3. Licensee may terminate by deleting the account or disabling auto-renewal.
